These Terms of Use (“Terms”) govern your access to and use of a-rite.com (the “Site”) and any related services, content, features, or products offered by A‑Rite (“A‑Rite,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1) Eligibility

You must be at least the age of majority where you live to use the Site, or have permission from a parent/guardian. By using the Site, you represent that you can form a binding contract with us.

2) Changes to the Site or Terms

We may update the Site and these Terms from time to time. The “Last updated” date reflects the latest revision. Your continued use of the Site after changes become effective means you accept the revised Terms.

3) Accounts

If you create an account:

  • You agree to provide accurate and current information.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for activity that occurs under your account.
    We may suspend or terminate accounts to protect the Site or other users, or if we believe these Terms have been violated.

4) Acceptable Use

You agree not to (and not to help anyone else):

  • Use the Site in violation of any law or regulation.
  • Interfere with, disrupt, or damage the Site (including by probing, scanning, scraping, or attempting to bypass security).
  • Upload or transmit malware, harmful code, or content intended to disrupt the Site.

  • Use automated means to access the Site except as permitted (e.g., as allowed by our robots.txt or written permission).
  • Impersonate others, misrepresent affiliation, or engage in fraud.
  • Harass, abuse, or harm others.

5) User Content

If the Site allows you to submit or post content (e.g., reviews, comments, uploads) (“User Content”):

  • You retain ownership of your User Content.
  • You grant A‑Rite a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for formatting), display, and distribute your User Content solely to operate, improve, and promote the Site.
  • You represent you have the rights to submit the User Content and that it does not violate law or third-party rights.

We may remove or restrict User Content at any time if we believe it violates these Terms or may harm the Site or others.

6) Intellectual Property

The Site and its content (excluding User Content), including text, graphics, logos, design, software, and other materials, are owned by or licensed to A‑Rite and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Site or our content except as permitted by these Terms or with our written permission.

A‑Rite name and logo. “A‑Rite” and associated logos or marks may be our trademarks. You may not use them without our prior written consent.

7) Third-Party Services and Links

The Site may include links to third-party websites or services. We do not control and are not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.

8) Purchases, Payments, and Subscriptions

If you purchase products or services through the Site:

  • Prices, descriptions, and availability may change.
  • You agree to provide current, complete payment and billing information.
  • Sales may be final unless a return/refund policy applies.

Subscriptions (if offered): Subscription terms (billing frequency, renewal, cancellation timing, and trial terms) will be shown at checkout or in a subscription plan description and are incorporated by reference.

9) Shipping, Returns, and Refunds

If the Site sells physical goods, shipping times are estimates and may vary. Returns/refunds (if offered) are governed by our posted Return/Refund Policy (or the policy presented at checkout). If no policy is posted, contact us using the information below.

10) Disclaimer of Warranties

THE SITE AND ANY CONTENT, PRODUCTS, OR SERVICES PROVIDED THROUGH IT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, A‑RITE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, secure, error-free, or free of harmful components.

11) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, A‑RITE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, A‑RITE’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO A‑RITE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12) Indemnification

You agree to defend, indemnify, and hold harmless A‑Rite and its affiliates, officers, employees, agents, and suppliers from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) your use of the Site, (b) your violation of these Terms, or (c) your violation of any rights of a third party.

13) Termination

We may suspend or terminate your access to the Site at any time if we believe you violated these Terms or if we discontinue the Site. Sections that by their nature should survive termination (e.g., IP, disclaimers, limitations, indemnity) will survive.

14) Governing Law; Dispute Resolution

These Terms are governed by the laws of Wisconsin/United States, without regard to conflict of law principles.

Venue. Any dispute arising out of these Terms will be brought in the courts located in Marathon County, Wisconsin/United States, and you consent to personal jurisdiction there.

15) Changes, Interruptions, and Force Majeure

We are not responsible for delays or failures due to events beyond our reasonable control (e.g., natural disasters, power/internet outages, labor disputes, governmental actions).

16) Privacy

Your use of the Site is also subject to our Privacy Policy. If you don’t have one yet, tell me what data you collect (contact forms, analytics, payments, accounts) and I can draft it.

18) Miscellaneous

  • Entire Agreement. These Terms are the entire agreement between you and A‑Rite regarding the Site.
  • Severability. If any provision is found unenforceable, the rest remains in effect.
  • No Waiver. Failure to enforce a provision is not a waiver.
  • Assignment. You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition, or sale of assets.
